These Terms of Use (“Terms”) govern your access to and use of the GenZ.vc platform, including our websites, mobile applications, and all related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms, and our Privacy Policy and Community Rules.

GenZ.vc is a platform designed to connect and empower the next generation of creators, founders, investors, brands, experts, operators, and partners, through a range of discovery and collaboration tools.

These Terms apply to all users of the Services, including registered members, visitors, and contributors of Listings or content. If you do not agree to these Terms, you may not access or use the Services.

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date and, where appropriate, notify you through the platform or by email. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

Section 2: Eligibility

To use GenZ.vc, you must be at least 16 years old and have the legal capacity to enter into a binding agreement. By accessing or using the Services, you represent and warrant that:

You are at least 16 years of age (or the age of majority in your jurisdiction, if higher)

You are not prohibited from using the Services under any applicable laws

You are using the Services for lawful purposes, including professional, entrepreneurial, or educational use

If you are using the Services on behalf of a company, organization, or other legal entity, you have the authority to bind that entity to these Terms

GenZ.vc is based in the United States and operates in accordance with U.S. laws and regulations. If you access the Services from outside the U.S., you do so at your own risk and are responsible for compliance with local laws. We do not represent that our Services are appropriate or available in other jurisdictions.

We reserve the right to restrict or terminate access to the Services for any user who violates these Terms or applicable laws, or who engages in behavior that undermines the integrity, safety, or mission of the GenZ.vc community.

Section 3: Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Provide accurate, current, and complete information during registration and when using the Services
Keep your login credentials secure and notify us immediately of any unauthorized use or suspected breach
Use your account for lawful purposes and in accordance with these Terms

You may not:

Impersonate another person or entity, or misrepresent your affiliation with any individual or organization

Use the Services to post false, misleading, fraudulent, or deceptive content, including in Listings

Interfere with or disrupt the integrity or performance of the Services, including by uploading malicious code or engaging in scraping, data mining, or reverse engineering

Circumvent or attempt to circumvent any access or use restrictions, security measures, or platform rules

Use the Services to harass, abuse, or harm others, or to promote discrimination, hate, or violence

You are solely responsible for the content you submit, including Listings, messages, and profile information. GenZ.vc does not guarantee the accuracy, completeness, or usefulness of any user-submitted content and disclaims all liability arising from your reliance on such content.

We reserve the right to suspend or terminate your account if you violate these responsibilities or engage in conduct that we determine, in our sole discretion, to be harmful to the community or the platform.

Section 4: User Content, Posts, Listings & Submissions

4.1 Definitions

“Content” includes, but is not limited to, listings, profile information, feed posts, comments, messages, group discussions, images, videos, audio, documents, and any other material submitted or shared on the GenZ.vc platform.
“Social Actions” include likes, comments, follows, shares, invites, and other interactions users perform on the platform.

4.2 User-Generated Content

By submitting or posting Content, you grant GenZ.vc a non-exclusive, worldwide, royalty-free license to use, display, reproduce, distribute, and adapt such Content for the purpose of operating, promoting, and improving the Services. You are solely responsible for the Content you post and must ensure it does not infringe on any third-party rights or violate applicable laws or these Terms. GenZ.vc reserves the right to moderate, remove, or restrict access to any Content at its sole discretion.

GenZ.vc enables users to create and publish posts and Listings across various categories, including but not limited to:

Feed Posts (e.g., activity posts, video clips, images)
Opportunities (e.g., grants, accelerators, partnerships)
PitchDeal (startup investment opportunities)
FounderMatch (co-founder and collaborator discovery)
Services (offering or requesting professional services)
Jobs (startup hiring and talent discovery)
ExitHub (acquisition, merger, and exit opportunities)

By submitting a post or Listing, you agree to the following:

4.3 Accuracy & Ownership

You represent that all information in your post or Listing is accurate, current, and not misleading
You have the right to post the content and grant GenZ.vc a non-exclusive, worldwide, royalty-free license to use, display, and distribute your post or Listing for the purpose of operating the Services

4.4 Consent & Visibility

You acknowledge that posts and Listings may be publicly visible and discoverable by other users
You agree to any consent statements or disclosures required for your Listing type (e.g., PitchDeal, FounderMatch)

4.5 Prohibited Content

You may not submit Listings that:

Contain false, fraudulent, or misleading claims
Solicit or promote illegal activity, including unregistered securities or unlicensed financial services
Infringe on intellectual property or privacy rights
Include discriminatory, harassing, or abusive language
Violate any applicable laws or regulations

4.6 Moderation & Removal

GenZ.vc reserves the right to review, moderate, edit, or remove any Listing at its sole discretion
We may remove Listings that violate these Terms, receive credible complaints, or are deemed harmful to the community
Users may report Listings they believe violate these Terms or our Community Guidelines

4.7 No Endorsement or Guarantee

GenZ.vc does not endorse, verify, or guarantee the accuracy, quality, or outcomes of any Listing
Users engage with Listings at their own risk and are responsible for conducting their own due diligence

4.8 Listings and Promotions

Listings may have expiration dates, visibility limits, or renewal requirements. We reserve the right to remove or archive expired or inactive Listings.
We may offer paid options to feature or promote Listings for increased visibility. These placements are clearly labeled and do not imply endorsement by GenZ.vc..
Promotional features are subject to availability and may be modified or discontinued at our discretion.
Featured Listings may be time-limited depending on the promotional package selected. Unless otherwise specified, featured placements do not auto-renew. Users are responsible for renewing or updating Listings to maintain visibility.

Section 5: Matching & Discovery

GenZ.vc may use algorithmic tools and structured data to help users discover relevant Listings, connections, and opportunities.

5.1 How Matching Works

Matching is based on structured fields, user-submitted data, and platform activity

GenZ.vc may use automated systems to rank, filter, or recommend Listings or profiles

These systems are designed to enhance discovery, not to guarantee outcomes

5.2 No Guarantees or Endorsements

GenZ.vc does not guarantee the accuracy, completeness, or suitability of any match or recommendation

Matches are suggestions only and do not constitute endorsements, validations, or professional advice

Users are solely responsible for evaluating and engaging with any matched Listing or individual

5.3 Transparency & Control

Users may update their preferences, profile data, or Listings to influence matching results

GenZ.vc may provide filters, opt-outs, or visibility controls to manage how Listings are discovered or recommended

5.4 Limitations & Disclaimers

Matching tools are experimental and may not always produce relevant or accurate results

GenZ.vc disclaims any liability for missed matches, false positives, or reliance on algorithmic suggestions

Section 6: Organizational & Verified Accounts

Organizations may create accounts to represent their team, firm, or entity. The individual creating the account must have authority to act on behalf of the organization.

Team access features may allow multiple users to manage a shared account. The organization is responsible for all activity conducted under its account.

We may offer verification badges or status indicators to confirm the authenticity of certain users or organizations. Verification is granted at our discretion and may be revoked at any time.

Misuse of verification, impersonation of other entities, or misrepresentation of affiliation is strictly prohibited.

If a team member’s access is revoked or if they leave the organization, the organization is responsible for promptly removing or updating their access. GenZ.vc is not liable for any misuse of shared accounts or credentials.

Section 7: Advertising and Partnerships

vc may display advertisements, sponsored content, or affiliate links within the platform. These will be clearly marked and do not constitute endorsements.

We may engage in co-branded partnerships or promotional campaigns with third Any data shared in connection with such partnerships will be governed by our Privacy Policy and applicable disclosures.

Section 10: Platform Rights

To maintain the integrity, security, and quality of the GenZ.vc platform, we reserve the following rights:

10.1 Moderation & Enforcement

We may monitor, review, edit, or remove any content, Listing, or account that violates these Terms, our Community Guidelines, or applicable laws

We may suspend or terminate accounts that engage in abusive, fraudulent, or harmful behavior, or that undermine the purpose of the platform

We may restrict access to certain features or areas of the platform at our discretion

10.2 Service Changes

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice

We may introduce new features, remove outdated ones, or change how existing features function

We are not liable for any loss or disruption caused by such changes

10.3 Content Use & Licensing

By submitting content to the platform (including Listings, messages, and profile data), you grant GenZ.vc a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, display, and distribute that content for the purpose of operating and improving the Services

This license continues even if you delete your account or content, to the extent necessary for archival, legal, or operational purposes

10.4 Feedback & Suggestions

If you submit feedback, ideas, or suggestions, you grant us the right to use them without restriction or compensation

We are not obligated to implement any feedback or maintain its confidentiality

Section 11: Intellectual Property

11.1 Platform Content

All content made available through the GenZ.vc Services — including text, graphics, logos, icons, user interface elements, and software — is the property of GenZ.vc or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services or included content without our prior written consent.

11.2 User-Generated Content

By submitting content to the platform — including Listings, profile information, messages, and feedback — you retain ownership of your intellectual property, but you grant GenZ.vc a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, distribute, and adapt your content for the purpose of operating, promoting, and improving the Services.

This license continues even if you delete your content or account, to the extent necessary for archival, legal, or operational purposes.

11.3 Copyright Infringement

If you believe that content on GenZ.vc infringes your copyright, you may submit a takedown request in accordance with our Copyright Policy. We will respond to valid notices and may remove or disable access to the allegedly infringing content.

11.4 Trademarks

GenZ.vc, the GenZ.vc logo, and all related names, logos, product and service names, designs, and slogans are trademarks of GenZ.vc or its affiliates. You may not use these marks without our prior written permission.

Section 12: Third-Party Services

GenZ.vc may integrate with or link to third-party services, platforms, or tools to enhance your experience. These may include scheduling tools (e.g., Calendly), payment processors (e.g., Stripe), identity verification providers, analytics platforms, or social media integrations.

12.1 Use at Your Own Risk

Your use of third-party services is subject to their own terms and privacy policies

GenZ.vc is not responsible for the content, functionality, or practices of any third-party service

12.2 Data Sharing

We may share limited user data with third-party providers as necessary to operate or improve the Services (e.g., to process payments, verify identities, or enable integrations)

We do not sell your personal data to third parties

12.3 Embedded Content & Links

The Services may contain links to third-party websites or embedded content (e.g., videos, maps, forms)
GenZ.vc does not endorse or assume responsibility for any third-party content or services
You may link to the GenZ.vc homepage, provided the link does not misrepresent your relationship with GenZ.vc or imply endorsement. Deep linking, framing, or mirroring of our content without written permission is prohibited. We reserve the right to revoke linking permission at any time.

12.4 Platform Dependencies

Some features of GenZ.vc may rely on third-party APIs or infrastructure. We are not liable for outages, errors, or changes caused by those external systems

Accuracy, reliability, or availability of the Services or content

We do not guarantee that the Services will be uninterrupted, secure, or error-free, or that any content (including Listings or matches) will meet your expectations or lead to specific outcomes.

13.2 No Professional Advice

GenZ.vc does not provide legal, financial, investment, or employment advice. Any content or Listing on the platform is for informational purposes only and should not be relied upon as a substitute for professional advice. Users are solely responsible for conducting their own due diligence before acting on any information found on the platform.

Nothing contained in the Services constitutes an offer, solicitation, or recommendation to buy or sell any securities or financial instruments. GenZ.vc does not consider your personal financial situation, investment objectives, or risk tolerance. Users are solely responsible for evaluating any opportunities or Listings and should consult their own legal, financial, or tax advisors before making decisions.

13.3 Limitation of Liability

To the fullest extent permitted by law, GenZ.vc and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to:

Your access to or use of the Services

Any content or Listings on the platform

Any interactions or transactions with other users

Unauthorized access, use, or alteration of your content or account

Our total liability for any claim arising out of or relating to the Services shall not exceed the greater of $100 or the amount you paid us (if any) in the past 12 months.

13.4 Jurisdictional Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such cases, the above limitations may not apply to you, and you may have additional rights under applicable law.

You may terminate your account at any time by following the instructions in your account settings or by contacting our support team. Upon termination, your profile and Listings will no longer be publicly visible, but certain data may be retained as required by law or for legitimate business purposes.

14.2 By GenZ.vc

We reserve the right to suspend or terminate your access to the Services, with or without notice, if we determine that you have:

Violated these Terms or any other applicable policies

Engaged in fraudulent, abusive, or harmful behavior

Created risk or legal exposure for GenZ.vc or its users

Failed to comply with applicable laws or regulations

We may also suspend or discontinue the Services entirely at our discretion.

14.3 Effect of Termination

Upon termination:

Your right to access and use the Services will immediately cease

We may delete or disable access to your Listings and content

We may retain certain data as required by law, for dispute resolution, or to enforce our rights

Termination does not relieve you of any obligations or liabilities incurred prior to the effective date of termination.

Section 15: Governing Law, Dispute Resolution & International Users

15.1 Governing Law

These Terms and any disputes arising out of or related to them or the Services will be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

15.2 Dispute Resolution

Before initiating formal legal proceedings, you agree to first contact us to attempt to resolve the dispute informally. Most concerns can be resolved quickly and to mutual satisfaction.

If we are unable to resolve the dispute informally, you and GenZ.vc agree to resolve any claims through final and binding arbitration, except as provided below.

15.3 Arbitration Agreement

This Site is governed by the laws of the State of Florida, USA, without giving effect to its conflict of laws provisions. Any disputes arising out of or relating to these terms or the use of this Site shall be settled by arbitration administered by the American Arbitration Association (AAA) (or its AAA-ICDR international division, as the case may be), and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Each party will bear its own costs unless the arbitrator(s) determine(s) otherwise.

15.4 Exceptions

You or GenZ.vc may bring a claim in small claims court or seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened misuse of intellectual property or confidential information.

15.5 Disclaimer

The Services are not intended for use by any person or entity who is a citizen or resident of or located in any jurisdiction where such distribution, publication, availability or use would be contrary to applicable law or regulation, or which would subject GenZ.vc or its affiliates to any registration requirement within such jurisdiction.

vc makes no representation that the Services are appropriate or available for use in any jurisdiction. Prior to accessing the Services, users are required to ensure themselves whether the Services may be accessed and utilized in their respective jurisdictions and observe any relevant restrictions thereto. The user shall be solely responsible for compliance with all applicable laws and shall satisfy that they are not subject to any regulatory requirements which restrict or prohibit them from accessing or using the Services.

The Services have not been registered under any securities law of any foreign jurisdiction and are only for the information of any person in any jurisdiction where it may be lawful to offer such services and facilities. GenZ.vc will not undertake any requisite registration within any prohibited jurisdiction.

15.5 No Class Actions

You agree to resolve disputes with GenZ.vc only on an individual basis and not as a plaintiff or class member in any purported class or representative action. Class arbitrations, class actions, and consolidation with other arbitrations are not permitted.

Section 16: Anti-Corruption and Ethical Conduct

GenZ.vc is committed to maintaining the highest standards of integrity, transparency, and ethical conduct in all aspects of our operations. We do not tolerate bribery, corruption, or unethical behavior in any form.

Anyone acting on behalf of GenZ.vc — including employees, contractors, vendors, agents, suppliers, and service providers — is expected to:

Conduct business honestly and fairly, without seeking or offering improper personal gain

Avoid conflicts of interest and disclose any potential ethical concerns

Comply with all applicable anti-bribery and anti-corruption laws and regulations
